Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of LocalKey’s websites, applications, dashboards, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services for a hotel, advertiser, or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, do not use the Services.
1. The Services
LocalKey provides digital concierge and local-discovery tools that help hotels connect guests with restaurants, shops, attractions, and other local businesses. The Services may include public business profiles, content-management tools, analytics, user administration, image hosting, and paid subscriptions.
We may update, improve, suspend, or discontinue parts of the Services from time to time. We will provide notice when reasonably practicable if a change materially reduces paid functionality.
2. Eligibility and accounts
You must be legally able to enter into a binding agreement to use the Services. If you create or administer an account, you agree to:
- provide accurate and current information;
- keep login credentials secure and confidential;
- promptly update information that changes; and
- notify LocalKey if you suspect unauthorized account access.
You are responsible for activity performed through your account, except to the extent caused by LocalKey’s breach of these Terms or applicable law. Organization administrators may invite users, assign access, and manage organization content. Your organization is responsible for those decisions.
3. Business content
You may submit business details, descriptions, images, links, contact information, and other materials (“Business Content”). You retain ownership of your Business Content. You grant LocalKey a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, display, and distribute that content solely as needed to operate, promote, and improve the Services.
You represent that you have all rights and permissions needed to submit the Business Content and grant this license. You are responsible for its accuracy and legality. You must promptly correct or remove content that is misleading, outdated, infringing, or unlawful.
Public listings and recommendations may be supplied or curated by participating hotels and businesses. LocalKey does not independently guarantee their accuracy, availability, quality, safety, or suitability.
4. Acceptable use
You may not use the Services to:
- violate any law or another person’s rights;
- upload unlawful, deceptive, defamatory, infringing, or malicious content;
- interfere with the security or operation of the Services;
- gain unauthorized access to an account, system, or data;
- scrape, crawl, or use automated means to access the Services except as LocalKey expressly permits;
- reverse engineer or attempt to extract source code except where applicable law permits it; or
- use the Services to distribute spam, malware, or other harmful material.
5. Paid subscriptions
Some Services require a paid subscription. Prices, billing intervals, included features, and any additional commercial terms are presented at checkout or in an applicable order form.
Subscriptions renew automatically for the selected billing interval unless canceled before the next renewal date. You authorize LocalKey and its payment processor to charge the payment method on file for recurring fees and applicable taxes. You may cancel through the billing tools made available in your dashboard. Unless required by law or stated otherwise at purchase, payments are non-refundable, and cancellation takes effect at the end of the current paid period.
We may change subscription pricing with advance notice. A pricing change will apply no earlier than your next renewal after the notice period.
6. Third-party services and links
The Services use third-party providers for features such as authentication, payments, maps, hosting, and analytics. Your use of a third-party service may also be governed by that provider’s terms. The Services may link to third-party websites or businesses. LocalKey does not control and is not responsible for their content, products, availability, privacy practices, or conduct.
7. LocalKey property and feedback
The Services—including their software, design, branding, and content supplied by LocalKey—are owned by LocalKey or its licensors and are protected by intellectual-property laws. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services as intended; they do not transfer ownership to you.
If you provide suggestions or feedback, you grant LocalKey permission to use it without restriction or compensation to you.
8. Privacy
Our Privacy Policy explains how LocalKey collects, uses, and shares personal information. By using the Services, you acknowledge those practices.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay amounts due, or use the Services in a way that could harm LocalKey, our users, or third parties. Where reasonable, we will give notice and an opportunity to cure before suspension or termination.
Upon termination, your right to use the Services ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, limitations of liability, and dispute terms—will survive.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” LocalKey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will always be uninterrupted, secure, or error-free, or that public listings and third-party offerings will be accurate or available.
Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.
11. Limitation of liability
To the fullest extent permitted by law, LocalKey and its affiliates, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from or related to the Services.
To the fullest extent permitted by law, LocalKey’s total liability for all claims arising from or related to the Services will not exceed the greater of (a) the amount you paid LocalKey for the Services during the 12 months before the event giving rise to the claim or (b) $100.
These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.
12. Indemnification
If you use the Services for a business or organization, you agree to defend, indemnify, and hold harmless LocalKey and its affiliates, officers, employees, and agents from claims, losses, liabilities, and reasonable expenses arising from your Business Content, your misuse of the Services, or your violation of these Terms or another person’s rights.
13. Governing terms and disputes
If an order form or other written agreement with LocalKey identifies governing law or a dispute forum, those terms control. Otherwise, these Terms are governed by the laws applicable where the LocalKey contracting entity is principally located, without regard to conflict-of-law rules, and disputes must be brought in a court with jurisdiction over that entity. Nothing in these Terms limits rights you may have under mandatory consumer-protection law.
14. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, or our practices. We will post the revised Terms here and update the effective date. If a change is material, we will provide additional notice when reasonably practicable. Continued use of the Services after the revised Terms take effect means you accept them.
15. General
These Terms, together with any applicable order form and policies incorporated by reference, are the entire agreement about the Services. If there is a conflict, a signed order form controls for that conflict. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without LocalKey’s consent; LocalKey may assign them as part of a merger, acquisition, reorganization, or sale of assets.
